Terms of Service

These Terms of Service (“Terms”) govern your (“User”, “You”, “you”, or “your”) access to and use of the online registry operated by RSL Media (“RSL Media,” “RSL,” “we,” “us,” or “our”), including any content, functionality, and services as may be offered through the registry (collectively, the “Registry”), as well as your use on behalf of any individual or group of individuals with which you are employed or engaged and on whose behalf you use the Registry (as defined below) through the Registry (“Rights Holder(s)”). You represent and warrant that you are authorized to agree to these Terms on behalf of your Rights Holder(s). These Terms constitute a legal agreement between you and your Rights Holders (on one hand) and RSL Media (on the other).

Our handling of any information collected or provided through use of the Registry is governed by our Privacy Policy. By using the Registry, you consent, on behalf of yourself and your Rights Holder(s), as applicable to all actions taken by us with respect to your information in compliance with our Privacy Policy. You agree to provide Rights Holder(s) these Terms and the Privacy Policy prior to providing their consent to the Privacy Policy and agreeing to the Terms on their behalf.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE REGISTRY. THESE TERMS GOVERN USER’S USE OF THE REGISTRY, AND AFFECT USER’S AND RIGHTS HOLDER(S) LEGAL RIGHTS AND OBLIGATIONS. THESE TERMS SHALL REMAIN IN EFFECT UNTIL USER CEASES USING THE REGISTRY OR RSL TERMINATES USER’S RIGHT TO USE THE REGISTRY (BUT PROVISIONS THAT CONTEMPLATE SURVIVAL AFTER TERMINATION INCLUDING, WITHOUT LIMITATION, LIMITATIONS ON USE OF THE SITE, LIMITATION OF LIABILITY, INDEMNIFICATION, jurisdiction, binding arbitration, etc. SHALL REMAIN EFFECTIVE). USER MUST BE AT LEAST EIGHTEEN (18) YEARS OLD TO ACCESS AND USE THE REGISTRY. BY ACCESSING OR USING ANY PART OF THE REGISTRY, USER AGREES THAT USER HAS READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS, INCLUDING ON BEHALF OF USER’S RIGHTS HOLDER(S), AS APPLICABLE. IF USER OR ITS RIGHTS HOLDER(S) DO NOT AGREE TO BE SO BOUND, PLEASE DO NOT ACCESS OR USE THE REGISTRY.

THESE TERMS OF USE CONTAIN A MANDATORY ARBITRATION AGREEMENT THAT REQUIRES YOU AND RSL TO RESOLVE ANY DISPUTE RELATED TO THE REGISTRY THROUGH FINAL, BINDING INDIVIDUAL ARBITRATION RATHER THAN PROCEEDING IN COURT. THE DISPUTE RESOLUTION PROVISION ALSO INCLUDES A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE REVIEW THE “DISPUTES; GOVERNING LAW AND JURISDICTION” SECTION (SECTION 12) CAREFULLY BEFORE USING THE SITE.

RSL reserves the right, at our sole discretion, to make changes to all or part of these Terms at any time. Each User is responsible for checking these Terms periodically for changes. Your continued use of the Registry means that you agree to any new or modified provisions of these Terms posted on the Registry.

1. Purpose and Use of the Registry

RSL Media provides tools, resources, and services designed to help artists, creators, rights holders, managers, representatives, and creative teams register consent preferences, communicate rights-related notices, access educational materials, and participate in initiatives that promote transparency, consent, and responsible use of creative works, identities, characters, marks, and related rights.

Subject to these Terms, RSL hereby grants you a limited, personal, worldwide, non-transferable, non-sublicensable, non-assignable, non-exclusive, and revocable license to access and use the Registry. If you authorize any person to access and use the Registry, you shall be responsible and liable for their violation of these Terms and for their acts or omissions. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Registry as provided by RSL solely for your use or, if applicable, for use on behalf of your Rights Holder(s)’, in the manner permitted by the Terms.

RSL will use commercially reasonable efforts to provide access to the Registry except in the case of limited necessary maintenance periods, natural disasters or events beyond our control, and subject to any breakdowns or maintenance operations required to ensure the smooth operation of the Registry. We will not be liable for any failures or deficiencies in the performance or availability of the Registry for any reason. Except as may be required by applicable law, User and their Rights Holder(s) acknowledge and agree that we have no obligation to monitor access to or use of the Registry or of the content of communications or data transmitted through the Registry, but we have the right to do so for the purpose of operating the Registry, to ensure compliance with these Terms or to comply with applicable law or the order or requirement of a court, administrative agency, or other governmental body.

2. Restrictions on Use

You shall not, and shall not permit any other person to:

infringe any copyright, patent, right of privacy, right of publicity, trademark, trade secret, or other right of RSL or any third party;
abuse, defame, harass, or stalk any individual or other user of the Registry;
interfere or attempt to interfere with, or damage or attempt to damage, the Registry or the proper working thereof, including, without limitation, through the use of cancel bots, denial of service attacks, flood pings, forged routing or electronic mail address information, harmful code, packet or IP spoofing, phishing, Trojan horses, viruses, or similar methods or technology;
use any deep-link, page-scrape, robot, spider, or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Registry or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Registry, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Registry;
misrepresent User’s identity, provide false information, impersonate another person or entity, misrepresent User’s affiliation with a person or entity, including, without limitation, RSL or a Rights Holder, create or use a false identity, or attempt to use another user’s identity;
attempt to obtain unauthorized access to the Registry;
collect, reverse look-up, trace or seek to trace, manually or through automated means, information about other users or visitor to the Registry without their express consent;
use any meta tags or any other hidden text utilizing the RSL name, service marks, trademarks, or product or service names;
advertise, offer to sell, or sell any goods or services set forth in the Registry or otherwise use the Registry to solicit other users, except as expressly permitted by RSL;
engage in any activity that interferes with any third party’s ability to use or enjoy the Registry;
probe, scan, or test the vulnerability of the Registry or any network connected thereto, or breach the security or authentication measures on the Services or any network connected thereto;
take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Registry or RSL’s systems or networks, or any systems or networks connected thereto; or
assist any third party in engaging in any activity prohibited by these Terms.

Use of any robot, spider, site search, retrieval application or other manual or automatic device to retrieve, index, scrape, data mine or in any way gather or extract content on or available through the Registry or reproduce or circumvent the navigational structure or presentation of the Registry without RSL’s express written consent is prohibited.

You shall not, and shall not permit any other person to, share login or other access credentials (such as any username, identification number, or password, used, alone or in combination, to verify an individual user’s identity and authorization to access and use the Registry) assigned to any User. You shall not, and shall not permit any User or any other person to, access or use the Registry except as expressly permitted by these Terms.

Should any attempt to do any of the foregoing prohibited acts set forth in this Section 2 be made, RSL reserves the right, in addition to RSL’s other remedies, to seek damages (including without limitation, attorneys’ fees) from any such individual or entity to the fullest extent permitted by law.

3. Account Creation and Verification

To access certain features of the Registry, including registering consent preferences, submitting rights-related information, or sending notices to third parties, you may need to create an account (“Account”) or provide verification information. In connection with registration of an Account, if applicable, User may be required to provide a valid email account and other role-related information, and may also be required to create a password to securely access the Registry.

You agree to:

Provide accurate, current, and complete information;
Use your own email address or an email address you are authorized to use;
Maintain the strict confidentiality of your login credentials;
Be solely responsible for all activity that occurs under your Account; and
Promptly update any information that becomes inaccurate or incomplete.

RSL Media may suspend, restrict, or terminate access to the Registry if we believe that information provided is inaccurate, unauthorized, fraudulent, or otherwise violates these Terms. User must immediately notify RSL in writing of any need to deactivate User’s Account due to potential or actual security concerns. RSL will not be liable for any harm related to the use or misuse of User’s username and password, User’s disclosure of such items to another person, or User’s authorization to allow another person or entity to access and use the Registry under User’s login credentials.

To the extent that User provides any information, including but not limited to personal information, to RSL or its representatives, User warrants that (1) User is providing or obtaining only User’s own information or the information of others which User is authorized to provide to third parties and/or obtain from third parties on their behalf; and (2) the use of such information by RSL and its representatives will not infringe upon or misappropriate the intellectual property rights or otherwise violate the rights of any third parties.

4. Intellectual Property

RSL Materials

The Registry, and all intellectual property, trademarks, service marks, information, data, software and other materials made available to User in connection with these Terms, together with the design of the Registry, and text, scripts, graphics and features and other content and materials therein (collectively, “RSL Materials”) are the sole and exclusive property of RSL and its licensors, and are available to User solely for purposes of User’s use of and access to the Registry in accordance with these Terms. The RSL Materials are owned by or licensed to RSL and are protected by copyright and other intellectual property rights under United States and foreign laws and international conventions. All rights, title and interests in and to the RSL Materials and all copyrights, trade secret rights, patents, trademarks and any other intellectual property or proprietary rights in and to the RSL Materials shall at all times remain the exclusive property of RSL and/or its licensors. Except for the limited rights granted herein, nothing in these Terms shall transfer to User any right, title, or interest in or to any RSL Materials.

User Content

To the extent that you provide any text, data, information, images, recordings, content, and/or other materials provided by you to or in connection with the Registry (collectively, together with all intellectual property rights therein “User Content”), you retain all rights, title, and interest in and to such User Content; provided, that you grant RSL a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and publicly display any User Content, in whole or in part, to provide, operate, maintain, improve, and enhance the Registry and administer your Account. You and your Rights Holder(s) represent and warrant that you have all rights, consents, permissions, licenses, and authorization necessary to grant such rights and licenses, including, as applicable, the right to make such grant on behalf of your Rights Holder(s). In the event that your or Rights Holder(s)’ right or authority to continue making such grants to User Content changes, User shall immediately provide RSL notice, detailing the rights and User Content to which User or Rights Holder(s) no longer have the right or authority to grant licenses or permissions. You and your Rights Holder(s) further represent and warrant that the use of the User Content will not infringe upon or misappropriate the intellectual property rights or otherwise violate the rights of any third party.

Notwithstanding the foregoing, by submitting any information, suggestions, enhancement notations, comments, or ideas and other feedback to RSL with respect to our services or Registry as may be offered by RSL (collectively, “Feedback”); you agree that such Feedback shall be deemed, and shall remain, RSL’s property. You hereby irrevocably assign such Feedback to us. Feedback shall not be subject to any obligation of confidentiality on RSL’s part and RSL shall not be liable for any use or disclosure of any Feedback. RSL shall own all rights and interests related to Feedback (including without limitation all intellectual property rights therein) and shall be entitled to use any Feedback without restriction for any purpose whatsoever, commercial or otherwise, without compensation to you.

You understand that any consent or usage preferences that are communicated through use of the Registry are not binding or enforceable on any third party. RSL has no responsibility or obligation to monitor the use of any User Content, or the name, image and likeness of User or any Rights Holder(s) by any third party, or liability for any disputes, communications, or issues between or among you, your Rights Holder(s), and any third parties. Without limiting the indemnity obligations hereunder, you agree, on your behalf, and on behalf of your Rights Holder(s), to covenant not to sue, and to waive any claim against RSL, its affiliates, licensors, and service providers and their respective officers, directors, employees and agents, for any misappropriation, infringement, or violation of any rights in User Content or the name, image and likeness of User or any Rights Holder(s) by a third party.

5. Privacy and Data

RSL will treat any information it collects or receives from User through the Registry in accordance with its Privacy Policy (the “Privacy Policy”). Please review the Privacy Policy before using the Registry. If User is unwilling to accept the terms and conditions of the Privacy Policy, please do not use the Registry.

6. Third-Party Links

The Site also may contain links to the websites of RSL partners, advertisers, or unrelated third-party companies (“Linked Sites”). RSL does not own and has no control over the Linked Sites and therefore assumes no responsibility and makes no warranties or representations with respect to the availability of these websites, their content, advertising material, and the products or Site available at or through the Linked Sites. RSL does not endorse any Linked Site, is not bound by the terms and conditions, if any, of such Linked Sites, and the existence of a Linked Site does not mean that RSL has any affiliation, connections, endorsement, or sponsorship of such websites or their owners or operators. RSL accepts no liability for any direct or indirect damage that may result from User’s visit to a Linked Site, or from User’s use of the contents, products, or Site of these websites or their owners or operators. User acknowledges and agrees that RSL shall not be responsible or liable for the content or conduct of, associated with, or related to any Linked Site, and, accordingly, User’s access and use of any Linked Site shall be solely at User’s own risk. If User has any questions or concerns regarding any Linked Site, User should review any terms and conditions and privacy policy maintained by that Linked Site or should contact the applicable party or their website administrator.

7. Disclaimer of Warranties

USER AND RIGHTS HOLDER(S) AGREE THAT USER’S USE OF THE REGISTRY SHALL BE AT USER’S AND RIGHTS HOLDER(S)’ SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, RSL, ITS AFFILIATES, ITS LICENSORS, ITS SUPPLIERS, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE REGISTRY, CONTENT, AND USER’S USE THEREOF, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TIMELINESS, ACCURACY, COMPLETENESS, TITLE AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US THROUGH THE REGISTRY SHALL CREATE ANY WARRANTY, REPRESENTATION OR GUARANTEE NOT EXPRESSLY STATED IN THESE TERMS. THE REGISTRY AND ALL CONTENT ARE PROVIDED “AS AVAILABLE,” “AS IS,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OR CONDITION OF ANY KIND. RSL MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE AVAILABILITY, ACCURACY, OR COMPLETENESS OF THE REGISTRY OR CONTENT, AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (A) ERRORS, MISTAKES, OR INACCURACIES, (B) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM USER’S ACCESS TO AND/OR USE OF THE REGISTRY OR CONTENT, (C) ANY UNAUTHORIZED ACCESS TO OR USE OF RSL’S OR ITS SUPPLIERS’ SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (D) ANY TRANSMISSION TO OR FROM THE REGISTRY, AND/OR (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE REGISTRY THROUGH THE ACTIONS OF ANY THIRD PARTY. NEITHER RSL NOR ANY OF ITS SUPPLIERS WARRANT THAT (1) THE REGISTRY OR CONTENT WILL MEET USER’S REQUIREMENTS, (2) THE OPERATION OF THE REGISTRY WILL BE UNINTERRUPTED OR ERROR-FREE, OR (3) THE REGISTRY OR CONTENT WILL BE UP-TO-DATE, COMPLETE, COMPREHENSIVE, OR ACCURATE, OR THAT ERRORS WILL BE CORRECTED.

User is responsible for verifying the accuracy of any information User sends or receives through the Registry, User’s information, data, or records. RSL is not responsible for communication malfunctions, failures, or lost, stolen, or otherwise misdirected, transmissions, messages or entries, or the security of any such communications.

Please note that some jurisdictions may not allow the exclusion of implied warranties and conditions, so some of the above exclusions may not apply to you but shall apply to the maximum extent permitted by applicable law.

8. Limitation of Liability

IN NO EVENT SHALL RSL, ITS AFFILIATES, ITS LICENSORS, ITS SUPPLIERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM OR RELATED TO ANY (A) ERRORS, MISTAKES, OR INACCURACIES IN THE REGISTRY, (B) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, (C) ANY UNAUTHORIZED ACCESS TO OR USE OF THE REGISTRY, (D) ANY TRANSMISSION TO OR FROM THE REGISTRY, (E) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE REGISTRY, (F) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF USER’S USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE REGISTRY, (G) THE DISCLOSURE, DISPLAY, OR USE OF USER CONTENT, AND/OR (H) ANY OTHER MATTER RELATING TO THE REGISTRY (INCLUDING, WITHOUT LIMITATION, WITH RESPECT TO ANY DISPUTE BETWEEN USER AND RIGHTS HOLDER), IN EACH CASE WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT RSL IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

IF ANY EXCLUSION, DISCLAIMER OR OTHER PROVISION CONTAINED IN THESE TERMS IS HELD TO BE INVALID FOR ANY REASON BY A COURT OF COMPETENT JURISDICTION, AND RSL, OR ONE OF ITS OFFICERS, DIRECTORS, AGENTS OR EMPLOYEES BECOMES LIABLE FOR LOSS OR DAMAGE THAT COULD OTHERWISE BE LIMITED, SUCH LIABILITY WHETHER IN CONTRACT, TORT OR OTHERWISE WILL NOT EXCEED IN THE AGGREGATE THE GREATER OF THE AMOUNT ACTUALLY PAID BY USER TO RSL (IF ANY) OR ONE HUNDRED DOLLARS ($100.00 USD). BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO USER. IF USER IS DISSATISFIED WITH ANY PORTION OF THE REGISTRY, OR WITH ANY PORTION OF THESE TERMS, USER’S SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE REGISTRY.

Any claim or cause of action arising out of or related to User’s use of the Registry, these Terms, or User’s use of Content made available through or on the Registry must be filed within one (1) year after such claim or cause of action arose or it shall forever be barred, notwithstanding any statute of limitations or other law to the contrary.

9. Indemnification

User agrees to defend, indemnify, and hold RSL, its affiliates, licensors, and service providers and their respective officers, directors, employees and agents harmless from and against any and all claims, losses, liability, costs, and expenses (including reasonable attorneys’ fees) arising from or related to User’s use of the Registry, including any use of User Content, and/or disputes with third parties or between User and Rights Holder(s).

10. Modifications

We may update these Terms from time to time to reflect operational, technical, legal, or other changes.

Changes take effect when posted on this page with a revised effective date, unless otherwise stated. Your continued access to or use of the Registry after changes are posted constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you should stop using the Registry.

By providing your email address, or by sending emails to us, you are communicating with us electronically. By providing your email address, or by sending emails to us, you consent to receive communications from us or on our behalf electronically through emails. You understand that emails have inherent privacy risks, including that unencrypted emails are not secure and could be accessed by an unauthorized party, intercepted, or altered without your knowledge or authorization. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

12. Disputes; Governing Law and Jurisdiction

You agree that any dispute arising out of or relating in any way to your use of the Registry requires that the claim be resolved exclusively by confidential binding arbitration except that, to the extent you have in any manner violated or threatened to violate the Registry or Content and any intellectual property rights therein, RSL may seek injunctive or other appropriate relief. The arbitration shall be conducted before three neutral arbitrators in the State of Tennessee, U.S.A., in accordance with the Commercial Rules of the American Arbitration Association (“AAA”), as then in effect. No claims of any other parties may be joined or otherwise combined in the arbitration proceeding. Unless otherwise expressly required by applicable law, each party shall bear its own attorneys’ fees without regard to which party is deemed the prevailing party in the arbitration proceeding. Except for punitive and consequential damages (which may not be awarded), and subject to these Terms, the arbitrators shall be authorized to award either party any provisional or equitable remedy permitted by applicable law. The parties shall equally share all AAA charges and fees associated with the arbitration.

BECAUSE THE USE OF THE REGISTRY REQUIRES THE ARBITRATION OF ANY CLAIMS OR DISPUTES EXISTING BETWEEN THE PARTIES, NEITHER PARTY WILL HAVE THE RIGHT TO PURSUE THAT CLAIM IN COURT OR BEFORE A JUDGE OR JURY OR TO PARTICIPATE IN A CLASS ACTION OR ANY OTHER COLLECTIVE OR REPRESENTATIVE PROCEEDING. THE ARBITRATORS’ DECISION WILL BE FINAL AND BINDING. OTHER RIGHTS THAT EITHER PARTY WOULD HAVE IF SUCH PARTY WENT TO COURT, INCLUDING WITHOUT LIMITATION THE RIGHT TO CONDUCT DISCOVERY OR TO APPEAL, MAY BE LIMITED OR UNAVAILABLE IN ARBITRATION.

The award of the arbitrators may be enforced in any court having jurisdiction thereof. Each party consents (a) to the exclusive jurisdiction of the state or federal courts located in Davidson County, Tennessee, for any action (i) to compel arbitration, (ii) to enforce any award of the arbitrators, or (iii) at any time prior to the qualification and appointment of the arbitrators, for temporary, interim, or provisional equitable remedies, and (b) to service of process in any action by registered mail or any other means provided by law. Should this Section be deemed invalid or otherwise unenforceable for any reason, it shall be severed and the parties agree that exclusive jurisdiction and venue for any claims will be in the state or federal courts having jurisdiction over the State of Tennessee.

These Terms shall be construed and governed under the laws of the United States and State of Tennessee (without regard to rules governing conflicts of laws provisions). You agree that venue for all actions, arising out of or relating in any way to your use of our Registry, shall be in federal or state court of competent jurisdiction located in Davidson County, Tennessee, within one (1) year after the claim arises. Each party waives any objections based on forum non conveniens and waives any objection to venue of any action instituted hereunder to the extent that an action is brought in the courts identified above.

13. Miscellaneous

RSL may assign its rights and duties under these Terms without notice to User. User may not assign these Terms without the prior written consent of RSL, and any assignment in contravention of the foregoing shall be null and void. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and RSL’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. These Terms, as revised from time to time by RSL, constitute the entire agreement between the parties with regard to the subject matter in these Terms and supersede all prior understandings and agreements, whether written or oral, as to such subject matter. Any rights not expressly granted herein are reserved.
